Working template — plain-language scaffolding that reflects how SoftReply actually handles data. Have counsel review and adapt it before you publish or rely on it.

These terms govern your use of SoftReply, operated by Skiwo AS (“SoftReply”, “we”, “us”). By creating an account or using the service, you agree to them on behalf of yourself and your organisation.

1. The service

SoftReply is a shared support inbox that drafts replies from your team’s own answers, routes each draft to a named human for review, and helps you run feedback, testimonials and outbound campaigns.

We may improve, change or discontinue features over time. Where a change materially reduces a paid capability, we will give reasonable notice.

2. Accounts & eligibility

You are responsible for your account, the accuracy of your details, and all activity under your workspace.

You must keep credentials secure and notify us promptly of any unauthorised use. You must be legally able to enter into these terms.

3. Acceptable use

You agree not to use SoftReply to send unlawful, deceptive, or unsolicited bulk messages, to infringe others’ rights, or to attempt to disrupt or reverse-engineer the service.

Outbound campaigns must only be sent to recipients who have opted in and may unsubscribe at any time. You are responsible for compliance with applicable marketing and e-privacy law.

4. Your content & customer data

You retain all rights to the conversations, customer records and content you bring to softreply. You grant us a limited licence to process them solely to provide the service.

Our handling of personal data is governed by our Privacy Policy and, where applicable, the Data Processing Addendum, which forms part of these terms.

5. Your AWS account & third-party services

Outbound sending and related storage run through your own Amazon Web Services account (SES, SNS and S3). You are responsible for your AWS configuration, costs and compliance.

SoftReply is not liable for outages, charges or data handling within services you control or other third parties you connect.

6. Fees & billing

Paid plans are billed per user who reviews or sends replies, monthly or annually in advance. Fees are exclusive of VAT and similar taxes.

Plan changes take effect on a prorated basis. Except where required by law, fees already paid are non-refundable.

7. Trials

Free trials are provided as-is for evaluation and may be modified or ended at any time. No payment card is required to start one.

8. Intellectual property

SoftReply, its software, and its trademarks remain our property. These terms grant you a non-exclusive, non-transferable right to use the service during your subscription.

9. Termination

You may cancel at any time; access continues until the end of the paid period. We may suspend or terminate for material breach, non-payment, or legal risk.

On termination you may export your data for 30 days, after which we delete or anonymise it as described in the Privacy Policy.

10. Disclaimers

SoftReply assists human agents; it does not replace their judgement. Drafts and suggestions are provided without warranty, and the service is provided “as is” and “as available”.

11. Limitation of liability

To the extent permitted by law, neither party is liable for indirect or consequential loss. Our total liability in any 12-month period is limited to the fees you paid us in that period.

12. Changes to these terms

We may update these terms; we will post the new version here and, for material changes, notify you. Continued use after the effective date means you accept the change.

13. Governing law

These terms are governed by the laws of Norway. The courts of Oslo have exclusive jurisdiction, without prejudice to mandatory consumer protections.
